For the purpose of these comprehensive Terms and Conditions, the following terms shall carry the meanings specified:
Exhibitors are required to make payments as specified in the invoice furnished by the Organiser. The payment terms, due dates, and accepted payment methods shall be explicitly stated in the invoice.
Non-compliance with the payment terms may lead to the suspension or termination of the Exhibitor's participation in the Fair.
Any discounts extended by the Organiser shall be implemented in accordance with the terms and conditions outlined in promotional materials or agreements.
Exhibitors must adhere to the payment schedule stipulated in the invoice. Late payments may result in penalties or interest charges, as per the Organiser's specifications.
The Organiser reserves the right to terminate an Exhibitor's participation owing to non-payment, subject to prior written notice.
In the event of a Pandemic/Epidemic Event, the Organiser retains the authority to cancel, postpone, or modify the Fair as deemed necessary to ensure the health and safety of all participants.
The Organiser shall take reasonable steps to apprise Exhibitors of any changes to the event schedule in advance.
Exhibitors shall acknowledge that the Organiser cannot be held liable for any losses or damages arising from event adjustments necessitated by a Pandemic/Epidemic Event.
Exhibitors possess the right to request termination of their participation by submitting written notice to the Organiser.
Applicable cancellation charges shall be determined based on the timing of the cancellation, as specified in the agreement.
The Organiser will allocate spaces to Exhibitors based on available options and the Organiser's discretion.
The Organiser shall strive to accommodate special space allocation requests, but such requests are contingent upon availability and additional fees.
The allocated space shall be used exclusively for the purpose of exhibiting the Exhibitor's products, services, or offerings, as outlined in the agreement.
Exhibits displayed within the allocated space must align with the Organiser's guidelines and be relevant to the maritime industry.
The Organiser reserves the right to request the removal of any exhibit that violates event guidelines or poses safety risks.
Exhibitors shall refrain from promoting other marine exhibitions/shows during the Maldives International Yacht Fair 2024 without obtaining prior written consent from the Organiser.
Sponsorship agreements shall be subject to distinct terms and conditions negotiated between the Organiser and the Exhibitor.
Exhibitors intending to host competitions, promotions, or showcase banners and decorations within their space must secure approval from the Organiser in advance.
All promotions, advertisements, or decorations must align with the event's theme and adhere to professional standards.
Exhibitors shall not transfer, share, sub-let, or assign their allocated space to any third party without obtaining prior written consent from the Organiser.
The Organiser reserves the right to impose additional fees for approved transfers or sub-letting arrangements.
Exhibitors are obligated to maintain their allocated space open and operational during the designated Fair hours.
Premature closure of the exhibit space may result in penalties or restrictions imposed by the Organiser.
The Organiser shall provide tickets, passes, or badges for entry to the Fair, subject to the terms and conditions stated on such documents.
Exhibitors are accountable for disseminating allocated passes to their representatives and complying with the usage guidelines outlined by the Organiser.
The Organiser retains the authority to expel any individual, including Exhibitor representatives, who breach event rules, regulations, or exhibit behavior deemed disruptive to the Fair environment.
Expelled individuals shall not be entitled to any refund or compensation from the Organiser.
The Organiser reserves the right to amend event rules, regulations, and these Terms and Conditions without prior notice. Exhibitors shall remain updated on any revisions through communication channels established by the Organiser.
In instances of postponement, abandonment, strikes, or Force Majeure events that impact the timing or execution of the Fair, the Organiser reserves the right to modify event dates, duration, or terms as necessary. The Organiser cannot be held responsible for any losses arising from such changes.
The Organiser shall exert reasonable efforts to promptly inform Exhibitors of any event alterations.
Exhibitors shall adhere to all relevant laws, rules, regulations, and permits applicable to their participation in the Fair.
Prices and discounts are subject to alteration based on the Organiser's discretion and promotional initiatives.
Exhibitors bear the responsibility of complying with health and safety guidelines outlined by the Organiser to ensure a secure event environment.
Exhibitors grant the Organiser the right to employ their company name, logo, and product images for promotional purposes associated with the Fair.
The Organiser shall retain ownership of all content featured in the official Fair guide.
Exhibitors shall ensure that their exhibits do not infringe upon copyright, design, or patent rights of any third party.
Exhibitors are advised to acquire appropriate insurance coverage for their exhibits, property, and personnel during the Fair.
The Organiser shall not be held liable for any loss, damage, injury, or expense incurred by Exhibitors or their representatives during the Fair.
The Organiser possesses the authority to exercise a lien on the Exhibitor's property within the Fair premises in the event of non-payment or violation of these Terms and Conditions.
The essence of time is integral concerning the fulfillment of obligations by both the Organiser and Exhibitors.
The interpretation of these Terms and Conditions shall be governed by the laws of the Maldives, where the Fair is hosted. 27.2 All notices and communications exchanged between the Organiser and Exhibitors shall be documented in writing and conveyed through designated channels.
These Terms and Conditions constitute the complete agreement between the Organiser and Exhibitors, superseding any preceding understandings or agreements, whether written or verbal.
These Terms and Conditions shall be governed by and construed in accordance with the laws of the Maldives, where the event takes place.
No third party shall be conferred any rights under the Contracts (Rights of Third Parties) Act.
Any variations or waivers of these Terms and Conditions shall be in writing and endorsed by authorized representatives of both parties.
In the event of a dispute stemming from these Terms and Conditions, both parties shall endeavor to settle the matter through mediation or arbitration.
By participating in the Maldives International Yacht Fair 2024, Exhibitors acknowledge and affirm their agreement to these comprehensive Terms and Conditions.
